Welcome to Sleep Grade. These Terms of Service ("Terms") govern your access to and use of our website, content, scores, badges, and services (together, the "Services"). Please read them carefully — by accessing or using the Services, you agree to be bound by them. We've written them in plain language, but they form a binding agreement between you and us.
1. Who we are
The Services are provided by Sleep Grade, Inc., a Delaware corporation (or its current operating entity pending formation) ("Sleep Grade," "we," "us," "our"). You can reach us at contact us.
2. What Sleep Grade is — and isn't
Sleep Grade is an independent framework that assesses the sleep environment of hotels and accommodations across our methodology and publishes scores and certifications. As explained in our Scientific Disclosure, a Sleep Grade score represents our assessment of the likelihood that a property supports good sleep — not a guarantee that any individual will sleep well. We are not a hotel, a booking service, a travel agency, or a medical provider. We do not sell rooms, and we are not a party to any booking you make with a property. Any decision you make in reliance on a score is your own.
3. Using the website and Services
You may use our website and Services only for lawful purposes and in accordance with these Terms. You are responsible for your own use, and for anyone using the Services through your account or device. You agree not to:
Use the Services in any way that breaks the law, infringes anyone's rights, or is fraudulent, harmful, or deceptive.
Scrape, crawl, harvest, or systematically copy or extract our content, scores, or data by any automated means, except with our prior written permission or as our published machine-readable permissions (such as our robots file) expressly allow.
Access or attempt to access areas of the Services you are not authorized to use, or probe, scan, or test the vulnerability of our systems.
Interfere with or disrupt the Services, servers, or networks — including by introducing malware, or by overloading, flooding, or spamming.
Reverse engineer, decompile, or attempt to derive the source code or underlying methodology of any part of the Services, except where that restriction is prohibited by law.
Copy, reproduce, republish, frame, sell, or create derivative works from our content except as expressly permitted in these Terms.
Misrepresent your identity or affiliation, or misrepresent any property's score, badge, or certification status.
Use our name, logo, badges, or marks except as we expressly permit.
Use the Services to collect information about others without authorization, or to send unsolicited communications.
We may investigate and take appropriate action — including removing access, suspending accounts, or reporting to authorities — against anyone who, in our judgment, violates these rules.
4. Accounts
Some features may require an account. If you create one, you agree to provide accurate information, keep your login credentials confidential, and remain responsible for all activity under your account. Tell us promptly at contact us if you suspect unauthorized use. We may suspend or close accounts that are inactive, that we reasonably believe are compromised, or that breach these Terms.
5. Availability, changes, and accuracy
We work to keep the Services available and current, but we provide them on an "as available" basis. We may change, suspend, or discontinue any part of the Services — including features, scores, or content — at any time, and we may set limits on use or restrict access to parts of the site. We are not liable to you if any part of the Services is unavailable at any time.
We try to keep content accurate and up to date, but we do not warrant that everything is complete, accurate, or error-free, and content may be updated or corrected without notice.
6. Automated access, security, and fair use
Automated access to the Services — including bots, crawlers, and scrapers — is not permitted except as expressly authorized by us in writing or clearly allowed by our published machine-readable permissions. We may use technical measures to detect and prevent unauthorized automated access, and we may block access that threatens the security, integrity, or availability of the Services. You must not circumvent, disable, or interfere with security-related features.
Even where use is technically permitted, we ask that it be reasonable. Excessive automated requests, bulk extraction, or activity that places an unreasonable load on our infrastructure may be limited or blocked to protect the Services for everyone.
7. Scores, badges, and certifications
Scores and badges remain our intellectual property. If your property earns a certification, we grant you a limited, revocable, non-exclusive license to display the corresponding badge accurately, for the certification period, subject to any certification agreement between us. You may not alter a badge, display an expired or unearned badge, or imply a tier you have not achieved. We may suspend or revoke a badge if it is misused, if a certification lapses, or if the conditions supporting it no longer hold.
8. Scores are opinion, offered in good faith
Sleep Grade scores are statements of opinion and assessment, based on our methodology, on information provided by properties, and on publicly available information believed reliable at the time. They are offered in good faith to inform travelers and help properties improve. A score is not a statement that a property is unsafe, unlawful, or "bad," and it may not capture every fact about a property, whose actual conditions may differ.
We assess some properties from publicly available information without their involvement (baseline, non-certified scores). We apply the same criteria across property types and do not accept payment to influence any score.
9. Corrections and disputes about a score
If a property believes its assessment contains a factual error, it may request a review through our correction process by contact us. We consider substantiated corrections in good faith and update assessments where warranted. This correction process is the primary way to resolve concerns about a score, and we ask properties to use it before pursuing other remedies.
10. Content and intellectual property
All content on the Services — text, scores, methodology, badges, articles, graphics, and software — is owned by Sleep Grade or our licensors and protected by law. We grant you a limited, personal, non-transferable license to view and use it for its intended purpose. You may not reproduce, republish, sell, or create derivative works from it without our written permission, except for brief quotation with attribution.
11. Your submissions
If you send us information, feedback, or content (for example, through a form or a property self-assessment), you confirm you have the right to share it, and you grant us a license to use it to operate and improve the Services. You are responsible for the accuracy of the information you provide, and — importantly for property self-assessments — you agree that the information you submit is truthful. We may rely on it.
12. Third-party links and platforms
The Services may link to third-party sites such as booking platforms. We don't control them and aren't responsible for their content, practices, or the transactions you enter with them. Third-party names and marks belong to their owners and are used for identification only.
13. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that scores are error-free, that the Services will be uninterrupted or secure, or that any outcome — restful sleep, revenue, reviews, or otherwise — will result from a score or certification. Scores reflect likelihood, not certainty, and conditions at a property may change after assessment.
Nothing in the Services is medical, financial, or legal advice. Any figures we publish about revenue, pricing, or performance are illustrative, drawn from third-party industry research, and are not a prediction or guarantee for any property.
14. Limitation of liability
To the fullest extent permitted by law, Sleep Grade and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of or reliance on the Services — whether by a traveler, a property, or a third party. To the fullest extent permitted by law, our total liability for any claim relating to the Services will not exceed the amount you paid us for the Services in the twelve months before the claim, or US $100, whichever is greater. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
15. Indemnification
You agree to indemnify and hold Sleep Grade harmless from claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Services, your violation of these Terms, or — for properties — from inaccurate information you provide to us or misuse of a badge or certification.
16. Suspension and termination
We may suspend or end your access to the Services, or revoke a certification, if you breach these Terms or misuse the Services. You may stop using the Services at any time. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and dispute terms — will survive.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
18. Changes to these Terms
We may update these Terms as our Services or the law change. We'll post the updated version with a new "last updated" date, and continued use after changes means you accept them. For material changes, we'll take reasonable steps to give notice.
19. General
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with our Privacy Policy and Scientific Disclosure, are the entire agreement between us regarding the Services — except where a separate signed certification or partnership agreement applies, in which case that agreement controls for its subject matter.
